  1. These Tender documents also include as integral part of these documents, the S.E.Railway General Conditions of Contract and Standard Specifications of 2001, Vol-2 as amended by correction slips issued up to the date of opening of tender.
  2. All the above named documents, taken together, constitute the Tender Documents hereinafter called the �Document� and have to be read together and acted upon accordingly. No part of these documents can be relied upon or acted upon in isolation.
  3. The Railway Administration, before the due date  of opening, may of its own, in response to any clarification requested or suggested by any person at any time, modify the documents on its sole discretion.
  4. In the event of any conflict between the General Conditions of Contract as mentioned above and contents of various conditions of these documents, the later shall prevail.

           SPECIAL CONDITIONS & ELIGIBILITY CONDITIONS

1)Vendor shall submit copies of certificate from some original equipment manufactures (OEMs),which state that it has back-to-back support available with them with respect to peripherals equipment . In case where Vendor is unable to submit such back �to-back support certificates from a few of the OEM�s.Vendor will give similar/equivalent equipment if they are unable to repair any such equipment.

2)The work will be carried out without disturbing the ongoing booking activities. Therefore a complete time bound scheme. For execution of this work may be furnished alongwith the quotations.

3)If it becomes necessary for the Railway to carry out any addition or alteration in the scope of work during execution ,the addition and deletion in the quantities shall be paid or adjusted based on the unit rates of each item.

4)The personnel of the contractor shall have restricted entrance to the Computer booking office .Each personnel will be issued entry permit card which must be shown to the security before entering.

5)The tenderer should submit certified copies of their full credentials alongwith their tender.

6)Provision for license or any other statutory requirement shall be responsibility of the tenderer.

7)Power supply and plug  points will be made available to the contract at site by Railways free of cost.

8)The contractor should arrange good and sufficient skilled and unskilled labour force to handle the complete work.

9)All materials required for the work should be supplied by the contractor.

10)Thje above work should be done under the supervision  of supervisor available at site and all instructions given by CCM(G),S.E.Railway,14 Strand Road, Kolkata should be strictly followed.

11)Clarification required by the contractor: Any clarification required by the contractor may be obtained from Dy.CCM(PS).

12)Eligibility Criteria:- Firm should have completed at least one similar single work, for a minimum value of 35% of cost of Advertised Tender value of work in the last three financial years i.e. current year and three previous financial years (even though the work might have commenced before the qualifying period ) . The total value of similar nature of work completed during the qualifying period and not the payments received within the qualifying period alone may be considered. In case, authentic documents  of the final bill of similar nature of work has not been passed and final measurement have not been recorded, the paid amount including statutory deduction is to be submitted, if final measurement have been recorded and work has been completed with negative variation, then also the paid amount including statutory deduction. If final measurements have been recorded and work has been completed with positive variation but variation has not been sanctioned, original agreemental value or last sanctioned agreement value whichever is lower may be considered for judging eligibility.

Note:- (a) All the documents must be arranged as per sequence, stapled firmly and marked                                     with page nos.

(b)Notwithstanding the Eligibility Criteria being satisfied, Railway reserves the right to reject/accept the tender after considering the various circumstances of the individual case.

(c)Certificates issued  by Govt./Govt. undertaking will only be considered.

(d)OEM of producing the acceptable/sufficient documentary proof lies with the tenderer and it should enclosed along with the tender.

(e)Tender forms will be sold on production of Money Receipt of Rs.2000/-(not refundable) (Allocation No.Z-650) for each tender to be deposited as tender fees with Chief Cashier /S.E.Railway/Garden Reach, Kolkata-700043. The tender forms can be purchased on any working day between 10.30 hrs and 17.30 hrs from the Office of Chief Commercial Manager, 11th Floor, 14 Strand Road, Kolkata-700001 and upto -12 hrs on  11.10.2007(Date of opening)

(f)Tenderers not fulfilling the above eligibility criteria or not submitting the tender fee & earnest money and choose to submit the tender shall do so at their own risk  as the tender offer will be summarily rejected.

(g)NO TENDER FORM WILL BE SENT BY POST OR RECEIVED POST.

13)The following documents should be submitted along with tender

a) List of personnel ,Organization available on hand and proposed to be engaged for the subject work.

b) List of Plant & Machinery on hand ( own and proposed to be inducted )(own and hired to be given separately) for the subject work.

c ) List of works completed in the last three financial years giving description of work, organization for whom executed, approximate value of contract at the time of award and date of award and date of scheduled completion of work, Date of actual start, actual completion  of work, date of actual start, actual completion and final value of contract should also be given.

d) List of works on hand indicating description of work, contract value , approximate value of work yet to be done and date of award.

Note:  1) In case of items  ( c ) & ( d) above ,supporting documents /certificates  from the organizations with ................whom they worked are working should be enclosed.

2)Certificates from private individuals for whom such works are executed/being executed shall not be accepted.

14)Tenderer must attend  reported fault within 12 hours after lodging the complaint by Railway in writing or telephone.

15)Tenderer must have full-fledged service centre with trained staff .At Kolkata. Proof for the same must be submitted along with tender. 

16) SETTLEMENT OF DISPUTES :-  All disputes & difference of any kind  whatever arising out or in connection .................................................................with the contract will be determined as per clause 63 & 64 of GCC(2001)  .................................................................� Vol.2 of S.E.Railway.

17.      VARIATIONS IN EXTENT  OF CONTRACT    

(17.1) For controlling payment in case the agreement value goes beyond + 25%, a regulatory mechanism as part of the contract itself should be built in . For the first 15% increase in the value beyond  25% of agreement value , the rates will have a reduction  of 2 % in the incremental value of the agreement and for the next 10% increase in the value rates will have an additional  reduction of 2% in the further incremental value of the agreement.

( 17.2) Execution quantities beyond (+) 50% of the overall agreement value should not be permitted and ,if found necessary, should be only through fresh tenders  or by negotiation fresh rates with existing contractor as per procedure laid down by Railway Board in their letter No. 94/CE/CT-I 37/ dated 05.05.1995 for variation beyond 25%.

(17.3)To decide without agreemental  value will go beyond 50% as and when 75% of the agreement has been executed , the contract should be subjected  to a detailed review and administration decision by the appropriate authority(agreement signing authority) should be recovered in writing and quantities monitored at least at the level of JAG Officers.

(17.4)For variation is value beyond-25% of the agreement value, the present instruction for holding discussions with the contractor will be dispensed with.

ANNUAL MAINTENANCE CONTRACT FOR THREE YEARS FOR  MAINTENANCE OF SERLY UNRESERVED TICKETING SYSTEMS  PERIPHERALS ( GOVERNED BY LATEST GCC)

Chief Commercial Manager (G) S.E.Rly , Kolkata for and on behalf of President of India invites Sealed open tender for following works in prescribed tender forms. Prescribed tender forms  can be obtained from Chief Comml.Manaer(G)�s office S.E.Rly 11th floor New Koilaghat Building ,14,Strand road.Kol-1 on payment of Rs. 2000/- in person during office hours on any working day upto 12 hours on 11.10.2007. Tenders can be submitted upto 15 hours of 11.10.07 and will be opened on 16.00 hours the same day. In case holiday declared on the day of submission of the tender the same will be accepted and opened on the next working day at the same place.

  1. Tender not accompanied  by Earnest Money shall be summarily rejected.

  4. The Validity of  Tender should not be less than 90 days from the date of opening.
  5. Any offer submitted in a manner other than prescribed in the tender schedule shall be summarily rejected.
  6. The Railway will not be responsible for non-receipt of any document in time due to not sending/ non- delivery of the same to the correct address.
  7. The Railway Administrative reserves the right to reject any or all the Tenders without assigning reasons for such action.

a)I/We do not execute the contract documents within seven days after receipt of notice issued by the railway that such document are ready; or

b)I/We do not commence the work within ten days after receipt of order to that effect.

INSTRUCTIONS TO TENDERERS AND CONDITIONS OF TENDERING MEANING OF TERMS.

1.TENDER PAPERS

The instructions  to Tenderers and conditions of Tendering conditions of contract, prices and payment, special conditions, specifications, General conditions of contract and forms of tender included herein shall be read as part of the Tender. These are hence after, collectively referred to as the Tender papers.

The intending tenderer is advised to study the tender papers carefully. The tenderer shall also acquaint him self with the actual conditions, means of access to the site of work, nature of work and all other matters pertaining thereof. 

2.INTERPRETATIONS

The following terms shall have the meaning assigned hereunder except where the context otherwise requires :

(a)�Railway� shall mean the President of the Republic of India acting the Chief Commercial Manager(G), South Eastern Railway or the officer authorized to invite tenders and  enter into contracts for works on his behalf. 

(b)Chief Commercial Manager(G) shall mean the officer in Administrative charge of the whole of the project and shall mean and include the officer in charge of the Railway.

(c)System shall  mean the Chief Commercial Manager(G) in executive charge of the works and shall include Dy.CCM(PS ), South Eastern Railway.

(d)Tenderer shall mean the person, the firm or company who tenders for the works with a view to executing the works on contract with the Railway and shall include their personnel representatives, successors, and permitted assignees.

(e)Contract shall mean and include the Agreement of work order, the accepted schedule of rates the general conditions of contract, the special conditions of contract, and tender forms if any.

(f)Works shall mean the works schedule set forth in the tender forms and required to be executed according to specifications. 

GENERAL

i).Singular and plural :

Works imparting the singular number shall also include the plural and vice versa where the context requires.

ii)Prices shall also be expressed in words wherever indicated . In case of inconsistency between the two, the prices expressed in words shall prevail.

GENERAL  CONDITIONS OF CONTRACT

1.         (1)        Execution co-relation and  intent of contract Documents : The contract documents be signed in triplicate by the Railway and the contractor. The contract documents are complementary, and what is called for by any one shall be as binding as if called for by all, the intention of the documents is to include all labour and materials, equipments and transportation necessary for the proper execution of work. Materials or work not covered by or properly inferable from any heading or class of the specifications shall not be supplied by the Railway in words, which so applied, have a well-known technical or trade meaning shall be held to refer to such recognized standards.   

2.   (1)  Law governing the contract: The contract shall be governed by the law for the            time being in force in the Republic of India.

     (2)   Compliance to regulations and bye-laws :  The contractor shall conform  to the provision of any statute relating to the works and regulations and bye-laws of any local authority and of any water and lighting companies or undertakings, with whose system the work is proposed to be connected and shall before making any variation from the specifications that may be necessitated by so confirming give to the CCM(G) notice specifying the variation proposed to be made and the reason for making the variation and shall not carry out such variation until he has received instructions from the CCM(G) in respect thereof. The contractor shall be bound to give all notices required by statute, regulations or bye-laws as aforesaid and to pay all fees and takes payable to any authority in respect thereof.

3. Communications to be in writing:  All notices, communications, reference and complaints made by the Railway or the CCM(G) or CCM(G)�s representative or the Contractor ,concerning the works shall be in writing and no notice, communication, reference or complaint not in writing shall be recognized.

4.  Service of Notices on Contractors :    The Contractor shall furnish to CCM(G) the name, designation and address of his authorized agent and all complaints, notices, communication and references shall be deemed to have been duly given to Contractor if delivered to the Contractor or his authorized agent or left at or posted to the address so given and shall be deemed to have been so given in the case of posting on day on which they would have reached such address in the ordinary course of post or on the day on which they were so delivered or left. In the case of contract by partners, any change in the constitution of the firm shall be forthwith notified by the Contractor to CCM (G).  

5.Occupation and use of land :  No space belonging to or in the possession of the Railway shall be occupied by the Contractor without the permission of the Railway. The contractor shall not use, or allow to be used, the site for any purposes other than that of executing the works.

6.Assignment or subletting of contract : The Contractor shall not assign or sublet the contract or any part thereof or allow any person  to become interested therein any manner whatsoever without the special permission in writing to the Railway. Any breach of this condition shall entitle the Railway to rescind the contract and also render the contractor liable for payment to the Railway in respect of any loss or damage arising or ensuing from such cancellation. Provided always that execution of the details of the work by petty contractor under the direct and personal supervision of the Contractor or his agent shall not be deemed to be sub-letting under this clause. The permitted subletting of work by the Contractor shall not establish any contractual relationships between the sub-contractor and the Railway and shall not relieve the Contractor of any responsibility under the Contract.

7.Assistance by the Railway for the Stores to be obtained by the Contractor : Owing to difficulty in obtaining certain materials (including Tools & Plant) in the market, the Railway may have agreed without any liability thereof to endeavour to obtain or assist the Contractor in obtaining the required quantities of such materials as may be specified in the Tender. In the event of delay or failure in obtaining the required quantities of the aforesaid material the Contractor shall not be deemed absolved of his own responsibility and shall keep in touch with the day to day position regarding their availability and accordingly adjust progress of works including employment of labour and the Railway shall not in any way be liable for the supply of materials or for the non supply thereof for any reasons whatsoever  nor for any loss or damage arising in consequence of such delay or not supply.

8.Railway Passes : No free Railway passes shall be issued by the Railway to the Contractor or any of his employee/worker.

9.Carriage of materials : No forwarding orders shall be issued by the Railway of the conveyance of Contractor�s materials, tools and plant by Railway which may be required for use in the works and the contractor shall pay full freight charges at public tariff rates thereof.

10.Representation on works:  The contractor shall, when he is not personally present on the site of the works place and keep a responsible agent at the works during working house who shall on receiving reasonable notice, present himself to CCM(G) and orders given by CCM(G) or CCM(G)�s representative to the agent shall be deemed to have the same force as if they had been given to the contractor. Before absenting himself, the Contractor shall furnish the name and address of his agent for the purpose of this clause and failure on the part of the contractor to comply with this provision a any time will entitle the Railway to rescind the contract. 

11.Indemnity by Contractors: The Contractor shall indemnify and save harmless the Railway from and against all actions, suit proceeding losses, costs, damages, charges, claims and demands of every nature and description brought or recovered against the Railways by reason of any act or omission of the Contractor, his agents or employees, in the execution of the works or in his guarding of the same. All sums payable by way of compensation under any of these conditions shall be considered as responsible compensation to be applied to the actual loss of damage sustained and whether or not any damage shall have been sustained.

12.Force Majeure  Clause : If at any time, during the continuance of this contract, the performance in whole or in part by either party of any obligation under this contract shall be prevented or delayed by reason of any war, hostility, acts of public enemy, civil commotion, sabotage, serious loss or damage by fire, explosions, epidemics, strikes, lockouts or acts of God (hereinafter, referred to events ) provided notice of the happening of any such event is given by either party to the other within 15 days from the date of occurrence thereof,  neither party shall by  reason of such event, be entitled to terminate this contract nor shall either party have any claim for damages against the other in respect of such non-performance of delay in performance, and works under the contract shall be resumed as soon as practicable after such event has come to an end or ceased to exit, and the decision of the Engineer as to whether the works have been so resumed or not shall be final and conclusive, PROVIDED FURTHER that if the performance in whole or in part of any obligation under this contract is prevented or delayed by reason of any such event for a period exceeding 90 days, either parts may at its option terminate the contract by giving notice to the other party.

13. Time Delay: (i)    If  in the opinion of CCM(G) the progress of work has any time been delayed by any act or neglect of Railway�s employees or by other contractor employed by the Railway in executing the work not forming part of the contract but on which contractor�s performance necessarily depends or by reason of proceeding taken or threat-tended by or dispute with adjoining  or to neighboring owners or public authority arising otherwise through the Contractor�s own default etc., or by the delay authorized by CCM(G) pending arbitration or in consequences of the contractor not having received in due time necessary instructions from the Railway for which he shall have specially applied in writing to CCM(G) or his authorized representative then upon happening of any such event causing delay, the Contractor shall immediately give notice thereof in writing  to CCM(G) within 15 days of such happening but shall nevertheless make constantly his best endeavors to bring down or make good  the delay and shall do all that may be reasonably required of him to the satisfaction of CCM(G) to proceed with the works. The contractor may also indicate the period for which the work is likely to be delayed and shall be bound to ask for necessary extension of time. CCM(G) on receipt of such request from the contractor shall consider the same and shall grant such extension of time as in his opinion is reasonable having regard to the nature and period of delay and the type and quantum of work affected thereby. No other compensation shall be payable for works so carried forward to the extended period of time, the same rates, terms and conditions of contract being applicable as if such extended period of time was originally provided in the original contract itself.

(ii)        In the event of any failure or delay by the Railway to hand over the Contractor possession of the site necessary for the execution of the works or to give the necessary notice to commence the works or to provide the necessary drawings or instructions or any other delay caused by the Railway due to any other cause whatsoever, then such failure or delay shall in no way affect or vitiate the contract or after the character thereof or entitle the contractor to damages or compensation therefore but in any such case, the Railway may grant such extension of the completion date as may be considered reasonable.

Extension of time for delay due to Contractor :

14.       The time for execution of the work or part of the works specified in the contract documents shall be deemed to be the essence of the contract and the works must be completed not later than the date(s) as specified in the contract. If the contractor fails to complete the works within the time as specified in the contract for the reasons other than the reason specified in clause 12, the Railway may, if satisfied that the works can be completed by the contractor within reasonable short time thereafter, allow the contractor for further extension of time as the railway may decide. On such extension the railway will be entitled without prejudice to any other right and remedy available on that before, to recover from the contractor as agreed damages and not by way of Penalty a sum equivalent to �  of 1 % of the contract value of the works for each week or part of the week.

For the purpose of this clause, the contract value of the works shall be taken as value of work as per contract agreement including any supplementary work order/ contract agreement issued Provided also, that the total amount of liquidated damages under this condition shall not exceed the under noted percentage value or of the total value of the item or groups of items of work for which a separate distinct completion period is specified in the contract.

(i) For the contract value up to Rs 2 Lakhs  -  10% of the total value of the contract

(ii) For contracts valued above Rs 2 Lakhs     -10% of the first Rs 2 lakhs and the   

                                                                           5% of the balance.

Provided further, that if the Railway is not satisfied that the works can be completed by the contractor and in event of failure on the part of the contractor to complete the work within further extension of time allowed as aforesaid, the Railway shall be entitled without prejudice to other right or remedy available in that behalf, to appropriate the contractor�s security deposit and rescind the contract, whether or not actual damage is caused by such default. 

15 (1)   Illegal Gratification : Any bribe, commission, gift or advantage given promised or offered by or on behalf to the Contractor  or his partner, agent or servant or anyone on his behalf to any officer or employee of the Railway, or to any person on his behalf in relation to obtaining or execution of this or any other contract with the Railway shall in addition to any criminal liability which he may incur, subject the contractor to the rescission of the contract and all other contracts with the railway and to the payment of any loss or damage resulting from such decision and the Railway shall be entitled to deduct the amounts so payable from any moneys due to the contractor(s) under to rescind the contract and all other contacts with the Railway. Any  question or dispute as to the commission of any such offence or compensation payable to the Railway under this clause shall be settled by the General Manager of the Railway, in such a manner as he shall consider fit this contract or any other contracts with the Railway. 

(2)The Contractor shall not lend or borrow from or have or enter into any monetary dealings or transactions either directly or indirectly with any employee of the Railway and if he shall do so, the Railway shall be entitled forthwith and sufficient and his decision shall be final and conclusive. In the event of rescission of the contract under this clause, the contractor will no be paid any compensation whatsoever except payments for the work done up to the date of rescission.

SOUTH EASTERN RAILWAY

TENDER FOR ANNUAL MAINTENANCE CONTRACT FOR THREE YEARS FOR  MAINTENANCE OF UNRESERVED TICKTETING SYSTEM PERIPHIRELAS  AT 32 LOCATIONS OVER SOUTH EASTERN RAILWAY FOR THE PERIOD OF THREE YEARS.

OTHER CONDITIONS OF TENDER AND INSTRUCTIONS TO TENDERERS :

1.Details of works :

1.1Tenders are invited for the work � As on Tender Notice. �.

2.TENDER DOCUMENTS

2.1Submission of Tender :

2.1.1The tender documents consist of  (a )  Tender Form ( First Sheet ( b ) Special  Tender Conditions and Instructions to Tender s  (c ) Special conditions relating to specifications . These must be submitted together as one set, failing which the tender is liable to be rejected.

2.1.2These tender documents must be submitted duly completed in all respect in a sealed cover superscripted as Tender on or before 11.10.07. upto 15.00 hrs. with the Chief Comml. Manager (G)�s office at 11th floor 14 Strand Road south eastern railway Kolkata 700 001. The tender opening will be at 16.00hrs. on the same day rates read out in the presence of tenderers. Tenders which are received after the time and date specified above may not be considered. In case the intended date for opening of the tender is declared a holiday, the tenders will be opened on the next day at the same time.

2.2 Completion of Tender Documents :

2.2.1The rates should be quoted in figures as well as in words. If there is variation between the rates quoted in figures and in words, the rates quoted in �words� shall be taken as correct. If more than one or improper rates are tendered for the same items, the tender is liable to be rejected.

2.2.2Each page of the tender papers is to be signed and dated with seal by the tender/s or such person/s on his/their behalf who is/are legally authorized to sign for him/them.

2.2.3 Tenders containing erasures and alteration of the tender documents are liable to be rejected. Any corrections made by the Tender/s in his /their entries should be in ink and must be attested by him/them under full signature with date and seal.

2.2.4Additional conditions or stipulations if any must be made by the tender/s in a covering letter with the tender. The Railway reserves the right not to consider conditional tenders and reject the same without assigning any reason. Only those additional conditions which are explicitly accepted by the Railway shall form part of the contract.

2.3       CONSTITUTION OF FIRM

2.3.1The tender who are constituents of firm, company, association or society must forward attested copies of the constitution of their concern, partnership deed and power of attorney with their tender. Tender documents in such cases are to be signed by such person ( as may be legally competent to signed them on behalf of the firm, company ,association, society as the case may be). Co-operative society must like wise submit and attested copy of their certificate of registration along their documents aforesaid  mentioned. 

2.3.2Signature of Contractor/s 

The Railway will not be bound by any power of attorney by the tenderer/s or by changes by composition of the firm maid subsequent to the execution of the contract. The Railway may however recognize such power of attorney and changes after obtaining proper legal advice cost of which will be chargeable to the contractor.

2.3.2(a)      If the contractor/s firms is dissolved on account of death or retirement of any partners or for any reason whatsoever before fully completing the whole work of any part of it, undertaken by the principal agreement the surviving partners shall remain jointly satisfaction of the railway due to such dissolution. The amount of such compensation shall be decided by Chief Commercial Manager (G )  and his decision in the matter shall be final and binding on the contractor.

2.3.2(b)      The cancellation of any document such as power of attorney, partnership deed etc. shall forthwith be communicated to the railway in writing, failing which the railway shall have no responsibility on liability for any action taken on the strength of the said documents.

3.         EARNEST MONEY; 

3.1. The tenderer shall be required to deposit earnest money with the tenderer for the due performance with the stipulation to keep the offer open till such date specified in the tender, under the condition of the tender. The earnest money shall be 2% of the estimated tender value as indicated in the Tender Notice. The earnest money shall be rounded to the nearest Rs.10. This earnest money shall be applicable for all modes of tendering.  

3.2.      I shall be understood that the tender documents have been sold/issued to the tender is permitted to tender in consideration of stipulation on his part, that after submitting his tender he will be not resale his offer or modify the terms and condition thereof in the manner not acceptable to Dy.CCM(PS) should the tenderer fail to observe or comply with the said stipulation, the aforesaid amount shall be liable to the forfeited to the Railway.  

3.3.      If his tender is accepted this earnest money mentioned in sub clause (a) above retained as part of security for the due fulfillment of the contract in terms of General Condition of Contract. The earnest money of other tenderer, shall save as herein before provided, be return to them, but the railway shall not be responsible for any loss or depreciation that may happen thereto while their possession, nor liable to pay interest thereon. 

3.4.      The earnest money should be in cash or any of the following forms:-

i)Deposit receipt, pay orders, demand drafts. These forms of earnest could be either of the State Bank of India or any Nationalized Banks. No confirmatory advice from the Reserve bank of India will be necessary.

ii)Deposit receipts executed by the schedule banks (other than the State Bank of India and Nationalized Banks) approve by the Reserve Bank of India for this purpose. The Railway will not, however, accept deposit receipt without getting in writing the concurrence of Reserve Bank of India. 

iii)Earnest Money may be accepted in the following forms:- 

1)A deposit in cash.

2)Government securities at 5% below the market value.

3)Deposit receipt or demand draft of the Nationalized Banks.

4)A deposit in the post office savings bank.

5)National Saving Certificates.

6)Twelve years National Defence Certificate.

7)Ten years Defence deposit.

8)National Defence Bonds.

9)National Saving Certificates.

10)Time Deposits Account which came in to force on 16.03.1970and Notified under Ministry of finance, Notification No. F3(7) NS/70 dated 28.02.1970.

11)IRFC Bonds. 

Note:- (6) & (8) These certificates/Bonds may be accepted at their surrender value. 

4.0Acceptance of Tender

4.1If the tender/s deliberately given /give wrong information in his or their tender and thereby created/create circumstances for the acceptance of his/their tender/s the Railway reserves right to reject such tender/s at any stage. 

4.2The authority for  acceptance of the tender/s rest with the CCM(G),South Eastern Railway who does not undertake to assign reasons for declining to consider any particular tender of tenderer .He also reserves the right to accept the tender in whole or in part or to divide the tender amongst more than one tenderer if deemed necessary. 

4.3The successful tenderer/s shall be required to execute an agreement with the President of India acting through CCM(G) S.E Rly., Kolkata for carrying out the work as per agreed condition. The cost of stamp will be borne by the firms. 

4.4The tenderer shall not increase his or their rates in case the Railway negotiates for reduction of rates. Such negotiations shall not amount to cancellation or withdrawal of the original offer and rest originally quoted will be binding on the tenderer/s.

4.5 The tenderer/s shall submit an analysis of rates if called upon.

(a)Modifications to the contract to be writing : In the event of any of the provision of contract document have been signed , modification s shall  be made in writing and signed by the Railway and Contractor and no work shall proceed under such modification until this has been done. Any verbal or written arrangement abandoning, modifying, extending, reducing or supplementing the contract or any of the terms thereof shall be deemed conditional and shall not be binding on the Railway unless and until the same is incorporated in formal instrument and signed by the Railway and Contractor and till then the Railway shall have the right to repudiate such arrangements. 

(b)1. Power of modification to contract : CCM(G) on behalf of the Railway shall be entitled by order in writing to enlarge or extend , diminish or reduce the work or make any alteration in their design in character position site , quantities , dimensions or in the method of their  execution or in the combination and used of materials for the execution thereof or to order any additional work to be done or any work not to be done and the Contractor will not be entitled to any compensation for any increase/ reduction in the quantities of work but will be paid only for the actual amount of work done and for approved materials supplied against a specific order. 

2.(i) Unless or otherwise specified in the special condition of the contract, the accepted variation in quantity of each individual item of the contract would be up to 25% of the quantity originally contracted. The Contractor shall be bound to carry out the work at the agreed rates and shall not be entitled to any or any compensation whatsoever up to the limit of 25% variation in quantity of individual item of works. 

4.6Non completion with any of the conditions set forth herein is liable to result  the tender being rejected

4.7The Contractor shall be deemed to have carefully examined the regulation for tender, the condition of the contract specification and Drawing. If he shall have any doubt as to the specification, he shall before signing the agreement set fort thereof and submit the same in writing to the CCM (G) in order  that such doubt may be removed . The decision of the CCM(G) in this respect shall be final and binding on the Contractor.

4.8The tenderer whose tender is accepted shall be required to appear at the office of CCM(G)�s office in person or if a firm or corporation a duly authorized representative shall so appear and execute the contract document, Failure to do so shall constitute breaches of agreement effected by acceptance of the tender in which case the earnest money accompanying the tender shall forfeited to the Railway as liquidated damages for such default.

4.9The tender  shall be send under a covering letter in the form given in Annexure-D of this condition of tender.

4.10The tenderer shall treat the contents of the tender documents as private and confidential.

4.11Every tenderer shall state in the tender his postal address fully and clearly. Any communication sent to the tenderer by post at his said address shall be deemed to have reached the tenderer timely.

4.12Should the Railway decide to negotiate with a view bring down the rates , the tenderer/s called for negotiations should furnish the following form of declaration before commencement of negotiation: �I_______________________ do declare that in the event of failure  of the contemplated negotiations  relating to my tender no______________opened on ________ my originals tender  shall remain open for acceptance of its original term and conditions.

4.13Form of contract documents

Every contact shall be complete in respect of the documents . Documents shall be signed by the competent authority and the Contractor.

4.14Form of quotations:

            (a) The tender shall be submitted in the prescribed form available at Page 12.   

            (b) The tender shall be complete in all respect and shall include the following: 

            i) Forwarding letter                                           Annexure �D�

            ii) Declaration Form                                          Annexure �E�. 

NOTE: 1. The tender shall be signed on each and every page.

2.Tenders not accompanied with any of the above are liable to be rejected. 

5.         SECURITY DEPOSIT ON ACCEPTANCE OF TENDER; 

            i) The earnest money deposited by the Contractor with his tender will be retained by the Railways as part of security for the due and faithful fulfillments of the contract by the Contractor, the balance to makeup the security deposit, @ 5% of the contact value will be recovered @ 10/- percent from the Contractor�s �on account bill � till the full security deposit is recovered. 

            ii) Unless otherwise specified in the special condition, if any, Security Deposit/rate of recovery/mode of recovery shall be as under:- 

a)Security Deposit for each work will be 5% of the contract value.

b)The rate of recovery should be at the rate of 10 % of the bill amount till the full security deposit is recovered.

c)Security Deposit will be recovered only from the running bills of the contract and no other mode of collection SD such as SD in the form of instruction like BG,FD etc shall be accepted towards Security Deposit. 

i) Security Deposit shall be returned to the Contractor after the physical completion of the work as certified by the competent authority . The competent authority shall normally be authority who is competent to sign the contract. If this competent authority is of the rank lower than JA grade,  than a JA grade office (concerned with the work) should issued the certificate three certificate, inter-alia, should mentioned that the work has been completed in all respect and that all contractual obligations have been fulfilled by the contractor and that there is no due from the Contractor to Railway  against the contract concerned before the releasing SD , and unconditional, unequivocal no claim certificate from the Contractor should be obtained. 

ii) No interest will be payable upon the Earnest Money  and Security deposit or amounts payable to the Contractor under the contract, but Government Security deposit in term of sub Clause (1) of this will be payable with interest accrued thereon . 

6. Performance Guarantee

a) The successful bidder should give performance guarantee amounting to 5% of the contract value in any of the following the forms:-

         i) A deposit of cash,

        ii} Irrevocable Bank Guarantee,

          iii} Government Securities including State Loan Bonds at five percent below the                                     market value,

           iv} Deposit Receipts, Pay Orders, Demand Drafts and Guarantee Bonds. These  forms of Performance Guarantee could be either of the State Bank of India or of   any of   the Nationalized Banks;

           v} Guarantee Bonds executed or Deposits Receipts tendered by all Scheduled                                        Banks;

           vi}a Deposit in the Post Office Saving Bank;

           vii} a Deposit in the National Savings Certificates;

           viii} Twelve years National Defence Certificates ;

            ix} Ten years Defence Deposits;

            x} National Defence Bonds; and

          xi} Unit Trust Certificates at five percent below market value or at5 the face value  whichever is less.  

            Also FDR in favour of FA&CAO/GRC,(free from any encumbrance) may be accepted.        

c)Performance Guarantee should be furnished by the successful Contractor after the  letter of acceptance has been issued but before signing of the agreement should be valid up to expiry of the maintenance period .The agreement should normally be signed with in fifteen days after the issue of LOA and Performance guarantee with in this time limit .

d)Performance Guarantee shall be released after satisfactory completion of the work and maintenance period is over. The procedure for realizing should be same of security deposit.

e)Wherever the contracts are rescinded, the security deposit should be forfeited and the Performance guarantee shall be encashed and the balance work should be got done separately.

f)The balance work shall be got done independently without risk and cost of the original contractor.

g)The original contractor shall be debarred from participating in the tender for executing the balance work. If the failed Contractor is a JV or a partnership firm, then every member /partner of such a firm, then every would be debarred from participating in the tender for balance work either in his/her individual capacity or as a partner of any other JV/partnership firm.           

(7)             Determination of contract owing default of contractor � (1) if the contractor should                  

(i)  Become bankrupt or insolvent or

(ii)  Make an arrangement with an assignment in favour of his creditors, or a agree to  

        carry out  the contract under a Committee of Inspection of his creditors, or

(iii)  Being a Company of Corporation , go into liquidation (other than voluntary liquidation for the purpose of amalgamation or recons traction), or

(iv)   Have an execution levied on his goods  or property on the works, or

(v)   Assign the contract or any part thereof otherwise than provided in Clause 7 of this conditions or

(vi)   Abandon the contract, or

(vii)Presently disregards the instruction of the engineer, or contravene any provision of the contract, or

(viii)Fail to adhere to the agreed programme of the work by a margin of 10% of the stipulated period, or

(ix)   Fail to remove the materials from the site or to pull down and replace work after receiving the engineer�s notice to the effect that the said materials or works have been condemned or rejected under Clause  of these conditions , or

(x)   Fail to take step to employ competent or additional staff and labour as required under Clause 26 of the conditions or.

(xi)   Fail to offered the engineer or engineer�s representative proper facility for inspecting the works or any part thereof as required under Clause 28 of the conditions ,or

(xii)Promise, offer or give any bribe, commission, gift or advantage either himself or through his partner, agent or servant to any officer or employee of the Railway or to any person or his on their behalf in relation to the execution of this or any other contract with this Railway . 

(xiii)(A) at any time after tender relating to the contract has been signed and submitted by the Contractor , being a partnership firm admit as one of its partners or employ under it or being an incorporated company elect or nominate or allow to act as one of its directors  or employee under it any capacity whatsoever and retired engineer of the gazatted rank or any rank other retired gazatted officer working before his retirement , weather in the executive or administrative capacity or whether any pensionable post or not , in the engineering department of the railway for the time being owned  and  administered by the President of India  before the expire two years from the date of retirement from the said service of such engineer or officer unless such engineer or officer obtained from the President of India or any officer duly authorized by him in this behalf to become a partner or a director  or to take employment under the contractor as the cause may be , or 

(B) Fail to give at the submitting the said tender:-

         (a) the information as to the date or retirement of such retired engineer or retired officer from the said service or as to whether any such engineer or retired officer was under the employment of the contractor at the time of submitting the said tender . 

         (b) Information as to such engineer or officer obtaining permission to take employment under the contractor, or 

         (c) Being a partnership firm, the correct information as to, whether any of its partner was such a retired engineer or retired officer, or 

         (d) Being incorporated company, correct information as to whether any of  its directors was such a retired engineer or retired officer, or 

         (e) Being such a retired engineer or retired officer suppress and not disclose at the time of submitting the fact his being such a retired engineer or retired officer make at the tie of submitting the tender a wrong statement to his obtaining permission to take the contract or if the Contractor be a partnership firm or incorporated company to be a partner or director of such firm or company as the case may  or to seek employment under the Contractor and expiry of 48 hours notice (Proforma as Annexure V) should be issued. 

         Than and in  any of the said clause , the engineer on behalf of the railway may serve the contractor with a notice in writing to that effect and if the  Contractor does not within seven days after the delivery to him of such notice proceed to make good his default in so far as the same is capable made goods and carry  on the work or comply with such directions as aforesaid to the entire satisfaction of the  engineer , the Railway shall be entitled after giving 48 hours notice in writing under the hand of the Engineer to rescind the contract as whole or in part or parts (as may be specified in such notice). 

            Right of Railway after rescission of contract owing to default of  Contractor- in the event of any or several of the courses , referred to in sub clause (1) of this clause is being adopted.  

(a)The Contractor shall have to claim to compensation for any loss sustained by reason  of his having purchased or procured any materials or entered in to any advances on account of or with view to the execution of the works  or the performance of the contract and Contractor shall not be entitled to recover or be paid any some for any work their to for actually perform under the contract unless and until the engineer shall have certified the performance of such work and the value payable in respect thereof and the Contractor shall only be entitled to paid the value so certified. 

(b)The Engineer or the Engineer�s Representative  shall be entitled to take possession of any materials tools implements, machinery and buildings on the works or the property on which these are being or out to have been executed and to retain and employ the same in further execution of the works or any part thereof until the completion of the works without the Contractor being entitled to any compensation for the use and employment thereof or for wear pre destruction thereof. 

(c)The Engineer shall be soon as may be practicable after removal of the Contractor fix and determined ex-part  or by or after reference to the parties or after  such investigations or enquiry as he may consider  fit to make or institute and shall certify what amount (if any had  at time of rescission of the contract been reasonable earned by or would reasonable accrue to the contractor in respect of the work then actually done by him and what was the value any unused , .or partially used materials any constructional plant or any temporary upon the site. The legitimate amount due the Contractor after making necessary deduction and certified by the Engineer should be released expeditiously.  

(d)Period of AMC 

            Three years  from the date of issue of Acceptance Letter.

SCOPE OF WORK

1.   The comprehensive maintenance shall consist of preventive and corrective    maintenance and shall include carrying out of the necessary repairs and fitting of replacement parts. The successful tenderer is expected to maintain UTS peripherals equipments i.e., Terminals. Key board,  Ticket Printers, Report Printers, UPS etc installed at the locations as detailed in Annexure �A�. 

1.2 The Railway will not procure and stock spares .Tenderer will ensure availability of adequate spare parts till the end of maintenance period. Spares required for repair will be stocked and provided by the tenderer .The tenderer will not use parts from the equipment already lying under repair with him to repair any other equipment that becomes defective service includes replacement of printer heads also wherever necessary.  

1.3 Tenderer will provide replacement of parts during the maintenance period. 

1.4 Tenderer will arrange his own tools and test equipment for the maintenance service. The Railway will provide adequate space for working at the identified service centre.

1.5 Tenderer will provide replacement of all faulty communication, cabling irrespective of whether original cabling has been done by Railways or the tenderer .Tenderer should quote separately the rate of replacing cabling done by Railways at the time of installation.

1.6 Tenderer will carry out relocation of equipment if required by Railways for strategic reasons .

1.7 Hardware Maintenance service does not include the following;

            a) Electrical work external to machine or maintenance of accessories, attachments, machine or other devices not covered under the agreement.

            b) Consumables like Ribbons ,stationary etc.

2 FREE SERVICE

Tenderer are required to give full particulars of free service they would give to the purchaser as apart of the contract. 

3. MODALITIES OF MAINTENANCE  

3.1 The tender has to maintain all the equipment under Comprehensive Annual         Maintenance Contract as detailed in Annexure �C� for which tenderer has to quote their prices individually. 

3.2 The successful tenderer shell operate at centers/nodal points  at Khargpur, Chakradharpur Adra and Ranchi with  sufficient  number of service engineers as required for preventive and corrective maintenance round the clock. 

3.3 In addition to the above ,one in charge engineer will be deployed in 2 shifts 6.00 to 22.00hrs for7 days a week at HQ UTS centre/Kolkata for general coordination . During the night i.e 22.00 hrs to 6.00hrs the engineer will be available on call .

3.4       The service engineers should be available from Monday through Saturday from 6AM to  10 PM at Kolkata and round the clock at nodal point .They should be available on call  service in case of emergency.  

3.5       The contractor will ensure that no location indicated in Annexure �A�   is more than  200 kms from the nearest service centre.  

3.6       The service engineers are expected to do preventive maintenance at the location fortnightly and monthly as mentioned in Clause no 6 of detailed condition. In case of  emergencies ,they are required to attend call at remote centre from Nodal centre. The call should be attended within 12 hours of receiving the call. 

3.7       A schedule of preventive maintenance that will be carried out during the month will be submitted to divisional co-coordinator of Sr.DCM/DCM within 10th of next month. The service engineer will get the call sheet signed by the Railway authority at the locations where they are carrying out the Preventive maintenance. The divisional coordinator will submit the monthly call sheet of each locations to the CCM(G) latest by 15th of the next month after due acceptance and countersigned by the Sr.DCM/DCM of the respective divisions. Certificate of satisfactory performance or down time to mentioned by the CBS & the Engineer of Contractor jointly on the backside of the P.M sheet, divisional authority should  calculate the penalty in accordance to contract agreement if any and endorse on the back side of the quarterly bill  and quarterly payments would be issued only on the  basis of the above certification/endorsement after completion of all preventive maintenance as per schedule and submission of all the call sheets. 

3.8       The equipments available at all the locations are given in Annexure �A� depending upon operational convenience, the equipments in operation at different locations may be increased, but the total number of increased in each type of equipment may not go beyond 40% during the course of contract period. The tender should not quote anything extra over and above the rate for such increase for each type of equipments . The rates should be same irrespective of the locations for each type of equipment. However, the excess in one type of equipment will not be set off against shortfall in other type of equipment. 

3.9          The successful tenderer shall end over to keep all the system peripherals operational all the  time at any given locations. For all the UTS centre a minimum 20 % spare terminal. Ticket printers, Report printers, dumb terminals etc will be available at the

               earmarked location of each division. The inventory of spare equipments will be procured & kept at the cost of Railway. The same will be located at nodal centre as well as at other booking office. Preventive maintenance will be carried out for all the equipments as suggested by the manufacturer.  

3.10     A faulty equipment (namely terminals , keyboards, ticket printers, report printers UPS etc. will be replaced by the Railways with the spare one made available by Railways.

A faulty equipment will be repaired at the locations by the vendors or if major repair required it will be brought by the Railways to the nodal centre for rectification. The equipment will be brought by Railways to HQ UTS centre, Kolkata office only if the equipment beyond  repair at the nodal centre. 

3.11    The tenderer should indicate separately annual maintenance charge applicable to new equipments of various make  to be included in annual maintenance time to time after completion its warranty. 

4.Deviations:-

Deviations from the tender papers shall be clearly brought out the tenderer in his tender offer clauses not so commented upon shall be taken as having met with approval of the tender and shall therefore, be binding on him. 

5. Completion of offers:- 

5.1 Since the work is time bound and of urgent nature , it is essential that the offers are complete in all respects.

5.2 Incomplete offers are liable to be summarily rejected.

5.3 The tenderer are, therefore, requested to ensure that their offers are complete in all respects.

1.       Server based on-line Unreserved ticketing system has been installed at 32 location against 30  locations in UTS Ph-I and 2 locations in Ph-II. System peripherals of the above system have completed their warranty period.. Equipments installed at various stations over South Eastern Railway  are enlisted in annexure �A�.  

2.        DESCRIPTION OF SERVICE  required. 

General: Equipments are working at 32 locations 24 x 365 Hrs. These are linked with UTS server situated at 2nd floor NKG building. Unreserved tickets, MST, QST etc are being issued from these terminals.  All the hardware mentioned in the annexure �C� will have to maintain by the AMC vendor at the various specified locations at their own cost.

       from the logging of complains depending upon the gravity of the  

       failure.

7.7Passive Components i.e., I.O Box, LAN cabling upto T.S/Switch, printer cable etc. 

N.B  UPS battery, Printer Head will be out of scope these should be replace after jointly certified by the CBS,CI & the engineer of the vendors. Bill should be raised infavour of Sr. DCM/DCM of the division and the same will be paid  from the divisional account under revenue. 

  8.      SECURITY

8.1A unique signature code should be provided in various components to ensure that no outside parts installed either in addition or in replacement. 

8.2. No  third party maintenance or any kind of interference by the 3rd party is  acceptable at all.  Only authorized engineer should be allowed to maintain the equipments with entry in the failure register of the respective locations countersigned by CBS/BS/CRS of the respective location.  The supervisor should check the machine after repair the defective equipments and entered in the failure register and down time, thereon and signed.  

8.3  At the beginning of the each shift supervisor should check all the equipments including spares are in working conditions. Deviation if any, he should inform immediately to service engineer either over phone or in writing. 

8.4  Maintenance should be done by the engineer in presence of the  Railway supervisor. 

8.5Only persons authorized in writing by the AMC vendors will be permitted to maintain the equipment. 

8.6When ever the engineer attained the site he should enquire the status of all the equipment of the location under maintenance. 

           9.     GENERAL INSTRUCTIONS

9.1Workmanship should conform to good engineering practice so as to   ensure that the maintenance of the equipments.

9.2The third party maintenance on the hardware or any other kind of interference by a 3rd party is not acceptable. Only the authorized engineer of the AMC vendors would be permitted for maintenance. 

10.         MAINTENANCE

10.1The third party maintenance or any other kind of interference by third party is not acceptable. 

10.2AMC  charges will be payable quarterly and this payment will be made  only at the end of each quarter.  

10.3Contractor will provide service at the respective locations.  Failure to do so will be treated as breach of contract and Bank Guarantee  submitted will stand forfeited.  

10.4Contractor will submit the telephone numbers OF HQ & Nodal office and mobile numbers of  Service Engineers and  to the Railway authority.

10.5AMC will cover maintenance of all equipments including UPS .In case    of obsolescence or change in technology, no extra cost will be borne by the Railway.  

11.       UPTIME AND PENALTY:

Contractor will ensure 95% uptime of the system peripherals. Failure to do so, Contractor will be paid proportionately lesser amount of AMC Charges. In addition, the following penalty will also be applicable.

For failure of complete system peripherals of the location , when it is not possible to issue tickets even from a single terminal, penalty will be leviable @ Rs. 100/- for every hour  after 24 hours from the intimation to the Contractor (either in writing or over telephone).

When a particular Terminal windows remained down due to failure of system peripherals , penalty will be leviable @ Rs. 5/- for every hour after 24 hours and Rs.10/- per hour after48 hour from the intimation to the contractor (either in writing or over telephone).  

Total penalty leviable during a month shall not be more than 5 % of the AMC charges quarterly.

 10. PAYMENT TERMS: 

AMC bill quarterly in quadruplicate (signature in original in each foil of the bill) along with P.M certificates will be  handed over to the coordinator of the division . The coordinator will send the bill to HQ after duly accepted ,deduction of penalty if any & countersigned by Sr.DCM/DCM of the respective division for payment.

PROFORMA FOR BANK GUARANTEE FOR PERFORMANCE GUARANTEE  37-38

G U A R A N T E E    B O N D

1.       Consideration of the President of India (hereinafter called �the Government�) having agreed to accept  (hereinafter called �the said Contractors)� from the demand for the payment of security deposit for the due fulfillment by the said Contractor(s) on the terms and conditions of the Agreement dated    made between And for (hereinafter called the �the said Agreement�) on production of a Bank Guarantee for Rs.(Rupees                                                          only).  We����������.. Bank (hereinafter referred to as �the Bank)� do hereby undertake (and promise) to pay the Government an amount not exceeding Rs. ����                 Against any loss of damage caused to or suffered by the Government by reason of any breach by the said contractor (s) of any of the terms of conditions contained in the said agreement.

2.       We, ������.     Bank further agree and promise to pay the amounts  due and payable under this guarantee without any demo, merely on demand from the  Government through the Financial Advisor and Chief Accounts Officer, South Eastern Railway, Kolkata stating that the amount claimed is due by way of loss or damage oaused to or would be caused to or suffered by the Government by reason of any breach by the said contractor(s) of any of the terms of conditions contained in the said agreement or by reason of the contractor(s) failed to perform the said agreement.  Any such demand made on the Bank shall be conclusive as regards the amount due and payable by the Bank under this guarantee.  However, our liability under guarantee shall be restricted to an amount not exceeding Rs. ������..

Bank, further agree that the guarantee herein contained shall remain in full force and effect during the period that would be taken for the performance of the said agreement and that it shall continue to be enforceable till all the dues of the Government under or by virtue of the said agreement have been fully paid and its claims satisfied or discharged or till ����..
